Terms of Service

1. Agreement and who you are contracting with
These Terms of Service ("Terms") are a contract between you and Yaumar Williams, trading as BuildCommand ("BuildCommand", "we", "us"). By creating an account or continuing to use the service, you accept these Terms. If you use the service for a company, you confirm you have authority to bind that company, and "you" includes that company.
2. The service
BuildCommand is a cloud-based construction project management application that provides CRM, estimating, project, scheduling, budgeting, document, photo, invoicing and commercial-controls features under the plans described on our pricing page. We grant you a limited, non-exclusive, non-transferable right to use the service for the duration of your plan, for your internal business purposes.
3. Accounts and credentials
You must provide accurate information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorised access.
4. Free trial and subscriptions
Paid plans begin with a 14-day free trial. A valid credit or debit card is required to start the trial, and your card is charged automatically at the end of the trial unless you cancel before then. Subscriptions renew automatically at the selected interval (monthly or yearly). You may cancel at any time; access continues until the end of the period you have paid for. Plan upgrades take effect immediately with a prorated charge; downgrades take effect at the next billing period.
5. Payments — Paddle is our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms) in addition to these Terms. Prices are shown per user and exclude applicable taxes, which Paddle calculates at checkout.
6. Acceptable use
You must not misuse the service. This includes: using it for anything unlawful; fraud, spam or deceptive practices; infringing anyone's intellectual property; introducing malware, probing or scanning the service, or scraping it; reverse engineering or attempting to bypass technical limits or access controls; and reselling or redistributing the service without our written consent.
7. Your content
You retain ownership of the data and documents you upload ("your content"). You grant us a limited licence to host, store and process your content solely to provide and improve the service. You are responsible for having the rights to anything you upload.
8. Our intellectual property
We own the service, including its software, design, documentation and branding. These Terms do not transfer any of our IP to you.
9. Service availability
We work to keep the service reliable but do not guarantee it will be uninterrupted or error-free. Planned maintenance and third-party outages may affect availability.
10. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, create a security or fraud risk, or repeatedly or seriously violate our policies. You may terminate by cancelling your subscription. When access ends, we will retain your content for a limited export window after which it may be deleted in line with our Privacy Notice.
11. Warranties and liability
The service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law. We are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill). Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.
12. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these Terms.
13. General
These Terms are governed by the laws of the State of New York, USA, and disputes will be resolved in its courts, unless mandatory local law gives you other rights. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for delays caused by events beyond our reasonable control. If any clause is unenforceable, the rest of the Terms remain in effect. We may update these Terms from time to time and will update the date above when we do.
